Each share of the issuer’s Class A Common Stock entitles its holder to one vote. Accordingly, the shares reported as beneficially owned by Dr. Volgenau represent 64.9 % of the combined voting power of the issuer’s Class A and Class B Common Stock as of December 31, 2006.
